• Ownership & Copyright: The Producer retains 100% ownership and copyright of the original instrumental composition. The purchase of any license grants a non-exclusive (or exclusive, where applicable) right to use the instrumental, but does not transfer ownership of the underlying copyright or publishing rights. • Credit & Attribution: The Licensee is strictly required to credit the Producer on all commercial releases, physical copies, metadata, and streaming platform descriptions using the mandatory credit format: Prod. by Zwayne Beatz. • Prohibited Use & Sampling: The Licensee shall not resell, lease, rent, or transfer the instrumental to any third party as a standalone beat. If the instrumental contains any third-party samples, loops, or sound design elements, the Licensee is solely responsible for obtaining proper clearance and licenses from the respective sample owners prior to commercial distribution. • Indemnification & Liability: The Licensee agrees to indemnify, defend, and hold the Producer harmless from and against any and all claims, demands, losses, damages, liabilities, and costs (including reasonable legal fees) arising out of or resulting from any breach of this agreement by the Licensee, or any unauthorized use of the instrumental. • Governing Law & Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles, and any legal disputes must be resolved within its jurisdiction.
